These Terms of Use ("Terms") govern your access to and use of the website located at digital.formintel.co (the "Site"), operated by Form Intel, LLC, a South Carolina limited liability company, through its digital-services department, Form Digital ("Form Digital," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
These Terms should be read together with our Privacy Policy (digital.formintel.co/privacy), Cookie Policy (digital.formintel.co/cookies), and Website Disclaimer (digital.formintel.co/disclaimer), each of which is incorporated into these Terms by reference.
1. Use of the Site
1.1 Permitted Use. You may use the Site for lawful purposes only, including browsing information about Form Digital's services, submitting an inquiry or program application, creating and using a referral-partner account, and scheduling meetings through any scheduling functionality we make available.
1.2 Account Access. Most public pages do not require an account. Referral partners may create an account to submit and follow referrals, maintain a profile, and view related activity. You are responsible for protecting your credentials, using only your own account, and notifying us promptly if you suspect unauthorized access. We may require email verification or other reasonable security steps before allowing account access.
2. Prohibited Conduct
You agree not to: (i) use the Site for any unlawful purpose or in violation of any applicable law or regulation; (ii) scrape, crawl, spider, or use any automated means to access the Site or extract data from it without our prior written consent; (iii) interfere with, disrupt, or attempt to gain unauthorized access to the Site, its servers, or any networks connected to it; (iv) submit false, misleading, or fraudulent information through the intake form or any other means; (v) use the Site to solicit or gather competitive intelligence, pricing information, or proprietary business information for the benefit of a competing service; (vi) copy, reproduce, distribute, modify, or create derivative works of any Site content without our prior written permission; (vii) attempt to reverse-engineer, decompile, or disassemble any aspect of the Site; or (viii) impersonate any person or entity or misrepresent your affiliation with any person or entity.
3. Intake Submissions
3.1 Inquiry Only. Submitting a build-intake form or scheduling a meeting through the Site constitutes a request for information. It does not create a binding agreement, an obligation to purchase services, or a client relationship between you and form.digital.
3.2 Response Commitment. We will use commercially reasonable efforts to respond to intake-form submissions within forty-eight (48) hours of receipt. This commitment is a goal, not a guarantee, and failure to respond within that window does not give rise to any claim or liability.
3.3 Separate Engagement Agreement. Any engagement, scope of work, pricing, deliverables, timeline, and maintenance terms will be confirmed in a separate written agreement between you and form.digital. No services will commence until that agreement is fully executed by both parties.
3.4 Content You Submit. By submitting information, files, links, or other materials through the intake form or related communications ("User Content"), you grant form.digital a non-exclusive, royalty-free, worldwide license to use, review, and analyze that User Content solely for the purpose of evaluating your inquiry and scoping a potential engagement. This license terminates upon your written request for deletion, subject to any legal retention obligations described in our Privacy Policy. You represent that you have the right to share any User Content you submit and that it does not infringe the rights of any third party.
3.5 Referral Partner Program. Participation in the Referral Partner Program is also governed by the dedicated Referral Partner Terms. Those terms control on matters specific to referral attribution, rewards, payout timing, partner conduct, and locked referrals.
4. Pricing
Prices displayed on the Site are starting points and estimates only. Final pricing is determined based on the scope, complexity, and requirements of your project and is confirmed exclusively in your signed project agreement. Custom-coded builds may require ongoing maintenance; the scope and cost of any maintenance engagement will be defined in the applicable project agreement or a separate maintenance agreement.
5. Intellectual Property
5.1 Ownership. The Site and all of its content — including text, graphics, logos, images, design, layout, code, and the form. and form.digital brand marks (collectively, "Site Content") — are the exclusive property of Form Intel, LLC or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.
5.2 Limited License. We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site Content solely for your personal, non-commercial informational purposes in connection with evaluating form.digital's services. This license does not include the right to copy, reproduce, distribute, modify, publicly display, or create derivative works of any Site Content.
5.3 Reservation of Rights. All rights not expressly granted in these Terms are reserved by Form Intel, LLC.
6. Privacy
Your use of the Site is also governed by our Privacy Policy, available at digital.formintel.co/privacy, and our Cookie Policy, available at digital.formintel.co/cookies. By using the Site, you acknowledge that you have read and understood both policies.
7. Disclaimers
7.1 "As Is" Basis. THE SITE AND ALL SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FORM INTEL, LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
7.2 No Professional Advice. Nothing on the Site constitutes professional, legal, financial, or technical advice. Any information provided is for general informational purposes only.
7.3 Availability. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
8. Limitation of Liability
8.1 Exclusion of Consequential Damages. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FORM INTEL, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.2 Liability Cap. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF FORM INTEL, LLC ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00).
8.3 Basis of the Bargain. YOU ACKNOWLEDGE THAT THE DISCLAIMERS AND LIMITATIONS IN SECTIONS 7 AND 8 REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND FORM INTEL, LLC.
9. Indemnification
You agree to indemnify, defend, and hold harmless Form Intel, LLC, its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Site; (ii) your violation of these Terms; (iii) any User Content you submit; or (iv) your violation of any applicable law or the rights of any third party.
10. Third-Party Links
The Site may contain links to third-party websites or services. We do not control and are not responsible for the content, privacy practices, or availability of those third-party sites. Your use of any linked site is at your own risk and subject to that site's terms and policies.
11. Modifications
We reserve the right to modify these Terms at any time. When we do, we will revise the "Effective Date" at the top of this page. If we make material changes, we will provide notice through the Site. Your continued use of the Site after any modification constitutes your acceptance of the updated Terms.
12. Termination
We may suspend or terminate your access to the Site at any time, without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, all rights granted to you under these Terms will immediately cease. Sections 2, 5, 7, 8, 9, and 13 shall survive any termination.
13. Governing Law and Dispute Resolution
13.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict-of-law principles.
13.2 Forum. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in South Carolina, and you consent to the personal jurisdiction of those courts.
13.3 Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATED TO THESE TERMS.
14. General Provisions
14.1 Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, Website Disclaimer, and any additional terms you affirmatively accept for a specific program or account, constitute the entire agreement between you and Form Intel, LLC regarding your use of the Site and supersede all prior agreements and understandings. For referral partners, the Referral Partner Terms are those additional program terms.
14.2 Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.3 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
14.4 Assignment. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms without restriction.
