These Referral Partner Terms ("Program Terms") govern your participation in the Form Digital Referral Partner Program (the "Program"), operated by Form Intel, LLC through Form Digital ("Form Digital," "we," "us," or "our"). By creating a referral-partner account and accepting these Program Terms, you agree to them.
These Program Terms supplement our Terms of Use and Privacy Policy. If these Program Terms conflict with the Terms of Use on a matter specific to the Program, these Program Terms control for that matter.
1. Joining the Program
1.1 Accurate information. You must provide accurate account information and keep your partner profile reasonably current. If you participate for an organization, you represent that you are authorized to do so.
1.2 Independent relationship. Participation does not make you an employee, agent, broker, joint venturer, franchisee, or legal representative of Form Digital. You may not bind Form Digital, represent yourself as Form Digital, negotiate on our behalf, or promise pricing, scope, results, discounts, timelines, or other terms for us.
2. What Establishes a Referral
2.1 Personal introduction required. Submitting contact information alone does not establish a referral. A referral is established when you make a valid, documented personal introduction that directly connects us with the prospective client, such as an email introduction, group text, or call.
2.2 Attribution. The first valid, documented personal introduction establishes attribution. We use our records to resolve duplicate or competing claims reasonably and in good faith.
2.3 Non-qualifying referrals. A referral does not qualify if, when introduced, the prospective client is already a Form Digital client, is already in an active sales conversation with us, was previously introduced by another partner, is a duplicate introduction, or is you or an entity you control. We may separately agree in writing to an exception.
2.4 Permission and respectful outreach. You must have permission to share another person’s contact information and to make the introduction. Do not use spam, purchased lists, deceptive communications, harassment, or unlawful outreach.
3. Referral Rewards
3.1 Reward amount. For each distinct qualifying referral, the reward is the greater of: (a) one hundred dollars ($100); or (b) fifteen percent (15%) of the referred client’s first invoice amount actually collected by Form Digital for the initial engagement. The calculation excludes taxes and reimbursed third-party or pass-through expenses.
3.2 When a reward is earned. A reward is earned only after the referred client enters into an engagement with Form Digital and Form Digital receives cleared payment of the qualifying first invoice.
3.3 Multiple referrals. You may earn a separate reward for every distinct qualifying referral. There is no Program-wide cap on the number of qualifying referrals or rewards. A single client’s qualifying initial engagement earns one reward unless we agree otherwise in writing. That one-client rule does not limit rewards for other qualifying clients you introduce.
4. Refunds, Reversals, and Adjustments
If a qualifying payment is refunded, charged back, disputed, reversed, or otherwise not retained before your reward is paid, we may hold or recalculate the reward based on the amount actually retained. If that happens after a reward is paid, we may apply the reversed amount as an offset against future rewards after giving you notice and recording the adjustment.
5. Payment and Tax Setup
5.1 Timing. We will issue an eligible reward within ten (10) calendar days after both: (a) the referred client’s qualifying funds have cleared; and (b) you have completed the tax and payout setup we reasonably require.
5.2 Secure setup. We will provide a secure method for required tax and payout setup. Never send bank-account, routing, tax-identification, or government-identification details through a general contact form, referral form, or ordinary email.
5.3 Taxes. You are responsible for your own taxes arising from Program rewards. You agree to provide accurate tax documentation reasonably required for us to report or issue payments.
6. Honest Recommendations and Conduct
You must describe Form Digital and the Program accurately. Do not make false, misleading, or unsubstantiated claims. If you recommend or promote Form Digital in a context where your potential reward could affect how the recommendation is understood, clearly disclose that you may receive a referral reward. You are responsible for complying with laws and platform rules that apply to your communications.
7. Our Role
We decide whether to pursue or accept a prospective client and control our own pricing, scope, contracts, communications, and delivery. A referral submission does not require us to contact, accept, or contract with anyone, and it does not create a client relationship.
8. Suspension and Termination
Either you or Form Digital may end Program participation for future referrals. We may pause or terminate participation, withhold an affected reward, or close a referral if we reasonably determine there has been fraud, misrepresentation, abuse, unlawful conduct, or a material violation of these Program Terms. Ending participation does not erase a qualifying referral that was already locked by a valid documented introduction, unless fraud, misrepresentation, abuse, or another disqualifying condition affected that referral.
9. Changes and Locked Referrals
We may update these Program Terms by publishing a new version and effective date and, when appropriate, providing notice through the Site or your partner account. Changes apply prospectively. A referral already locked by a valid, documented personal introduction remains governed by the Program Terms active when that introduction was established. Future referrals are governed by the version active when their introduction is established.
10. Records and Questions
Our account, introduction, client-payment, and payout records are used to administer the Program. If you believe a record is incorrect, contact us promptly so we can review it. Questions about the Program or these Program Terms may be sent to hello@formintel.co.
